Item 8.01. Other Events.
On November 16, 2012, Taylor Capital Group, Inc. issued a press release announcing that its recently commenced public offering of 4,000,000 shares of Perpetual Non-Cumulative Preferred Stock, Series A, has priced at $25.00 per share, with an annual non-cumulative dividend rate of 8.00%. The offering, which is subject to customary closing conditions, will generate gross proceeds to the Company of $100.0 million before underwriting discounts and commissions and offering expenses. A copy of the Company’s press release is included as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
