Item 8.01. Other Events.

Public Earnings Call

Industrial Income Trust Inc. (the “Company”) will host a public conference call on Monday, November 19, 2012 to review quarterly operating and financial results for the quarter ended September 30, 2012. Evan Zucker, Chairman, Dwight Merriman, Chief Executive Officer, and Tom McGonagle, Chief Financial Officer, will present operating and financial data and discuss the Company’s corporate strategy and acquisition activity. Status of Investments in Real Estate

As of November 16, 2012, the Company has acquired, either through its wholly-owned subsidiaries or through its 51% ownership interest in a joint venture partnership, properties with an aggregate total purchase price of approximately $2.1 billion, comprised of 185 buildings totaling approximately 35.1 million square feet in 19 markets with 346 customers, a weighted-average leased rate of approximately 94%, and an aggregate average remaining lease term (based on square feet) of approximately 5.2 years. The Company’s stabilized portfolio, which excludes 11 value-add buildings, is comprised of 174 buildings totaling approximately 32.7 million square feet, with 328 customers and a weighted-average leased rate of approximately 97%. The Company’s stabilized portfolio has an estimated aggregate weighted-average purchase price capitalization rate of approximately 6.8%.

As of November 16, 2012, assuming that the Company had completed certain acquisitions currently under contract or control, the Company will have acquired, either through its wholly-owned subsidiaries or through its 51% ownership interest in a joint venture partnership, properties with an aggregate total purchase price of approximately $2.4 billion, comprised of 215 buildings totaling approximately 41.5 million square feet in 19 markets with 410 customers, a weighted-average leased rate of approximately 94%, and an aggregate average remaining lease term (based on square feet) of approximately 5.3 years. Assuming completion of the acquisitions currently under contract or control, the Company’s stabilized portfolio, which excludes 11 value-add buildings, will be comprised of 204 buildings totaling approximately 39.1 million square feet, with 392 customers and a weighted-average leased rate of approximately 96%. The Company’s stabilized portfolio would have an estimated aggregate weighted-average purchase price capitalization rate of approximately 6.7%. There is no assurance that the Company will consummate the acquisitions currently under contract or control.
