Departure of Directors or Certain Officers; Appointment of Certain Officers; Compensatory

Item 5.02

Arrangements of Certain Officers


On November 13, 2012, we accepted the resignation of our Treasurer, Secretary and Board member Jae Hwang.  


There were no disagreements between Mr. Hwang and our company or our company’s board of directors on any matter relating to our operations, policies or practices.


A copy Mr. Hwang’s letter of resignation is attached hereto as Exhibit 17.1 and is hereby incorporated by reference.


Following Mr. Hwang’s resignation, SW China’s sole remaining officer and director, Seon Won, assumed the additional roles of Treasurer and Secretary.  Mr. Won is now SW China’s sole officer and director.
