Item 2.02. Results of Operations and Financial Condition.
On November 14, 2012, Diamond Foods, Inc. (“Diamond”) issued a press release announcing its restated financial results for the fiscal years ended July 31, 2011 and July 31, 2010, and filed an amendment to its Annual Report on Form 10-K for the fiscal year ended July 31, 2011 containing its audited financial statements for such years. In addition, Diamond announced its financial results for the first three quarters of fiscal 2012 (quarters ended October 31, 2011, January 31, 2012 and April 30, 2012) and filed its Quarterly Reports on Form 10-Q for each of those quarters. Diamond’s press release, a copy of which is filed as an exhibit to this report and incorporated by reference herein, also contains information on Diamond’s financial results for the fiscal year ended July 31, 2012. This information shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, or otherwise subject to the liabilities of that section, and is not incorporated by reference into any filing of Diamond, whether made before or after the date of this report, regardless of any general incorporation language in the filing.
