Amendments to the Registrant's Code of Ethics, or Waiver of a Provision of the Code of Ethics.
 
(a)    On November 6, 2012, the Board of Directors of Nortek, Inc. (the “Company”) approved a new Code of Business Conduct and Ethics (the “Code”), which includes the Company's code of ethics that applies to the Company's principal executive officer, principal financial officer, principal accounting officer or controller or persons performing similar functions.  The new Code as adopted is attached to this Current Report as Exhibit 14.
