Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 8, 2012, Thomas Murray tendered his resignation as the Senior Vice President, Marketing of Carbonite, Inc. (the “Company”). Mr. Murray’s resignation will be effective as of December 3, 2012 and Mr. Murray will have no further employment relationship with the Company after that date.
