(a) On November 1, 2012, Pike Electric Corporation (the “Company”) held its 2012 Annual Meeting of Stockholders (the “Annual Meeting”).
(b) At the Annual Meeting, the Company’s stockholders (i) elected all eight of the Company’s nominees for director, and (ii) ratified the appointment of Ernst & Young LLP as the Company’s independent registered accounting firm for fiscal year 2013. Final voting results on each matter submitted to the Company’s stockholders at the Annual Meeting are as follows:
