Item 2.02 Results of Operations and Financial Condition.
On November 1, 2012, USA Mobility, Inc. (the “Company”) issued a press release announcing its financial results for the third quarter ended September 30, 2012. A copy of the press release is furnished as Exhibit 99.1 to this report.

On November 1, 2012, our Board of Directors declared a regular quarterly dividend of $0.125 per share of common stock. The dividend will be paid on December 7, 2012 to stockholders of record on November 16, 2012.
