Item 5.02       Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
   
    On October 31, 2012, Mr. Richard N. Nixon resigned from the board of directors of The Monarch Cement Company ("Monarch"), effective October 31, 2012. Mr. Nixon's resignation was not because of any disagreement with Monarch on any matter relating to Monarch's operations, policies or practices.
