On May 2, 2012, Huntington Ingalls Industries, Inc. (the “Company”) held its annual meeting of stockholders, and, on May 8, 2012, the Company filed a Form 8-K disclosing the results of the stockholder vote for each proposal. In light of the vote regarding frequency of future stockholder advisory votes on executive compensation, on October 31, 2012, the Company’s board of directors adopted a policy that the Company will conduct future stockholder advisory votes on executive compensation every year.
