Pursuant to Item 5.02 filed on October 4, 2012, Mr. Cingari furnished the Registrant with an email response on October 17, 2012, attached hereto.  In the response, Mr. Cingari disagrees with the statements made by Registrant and stated that he, “…would like…dates and times of all emails, board meetings and phone calls…” for the period between May 1, 2012 and September 11, 2012.
