On October 17, 2012, the Nominating, Governance and Compensation Committee of the Board of Directors of Dril-Quip, Inc. (the “Company”) approved a form of performance unit award agreement under the 2004 Incentive Plan of the Company, as amended and restated effective May 10, 2012, to be used for grants of performance units to eligible employees. Such agreement is filed as an exhibit hereto and is incorporated by reference herein.
