Item 8.01 Other Events
On October 12, 2012, Fuse Science, Inc. (“Fuse”) borrowed $250,000 from a third party (the “Subordinated Loan”). The Subordinated Loan is evidenced by a $250,000 promissory note bearing interest at the rate of 9% per annum (the “Note”). The Note is payable on demand, is subordinated to all present and future senior indebtedness (as defined therein), is unsecured and is not convertible into shares of Fuse common stock.
The proceeds of the Loan will be used for working capital and other general corporate purposes.
