Item 8.01 Other Events.
On September 17, 2012, U.S. Home Systems, Inc. (the “Company”) filed a definitive Proxy Statement for the Special Meeting of Stockholders of the Company to be held on October 26, 2012 (the “Special Meeting”). In connection with the Special Meeting, the Company mailed a letter to certain of its stockholders on October 1, 2012 regarding the voting of their shares in connection with the Special Meeting. A copy of the letter is attached hereto as Exhibit 99.1.
