Item 1.01 Entry into a Material Definitive Agreement.

 

On October 1, 2012, Measurement Specialties, Inc. (the “Company”), pursuant to an asset purchase agreement, completed the acquisition of certain assets of Resistance Temperature Detector Company, Inc. (“RTD”) and its parent company Cambridge Technologies, Inc., a designer and manufacturer of temperature sensors and probes based in Ham Lake, MN, for $17.3 million in cash, subject to certain adjustments described in the asset purchase agreement. The asset purchase agreement contains customary representations, warranties and indemnification rights and obligations of the parties. The description of the purchase agreement set forth above is qualified in its entirety by the full text of that agreement, a copy of which is filed herewith as Exhibit 99.2 and is incorporated by reference.
