Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On September 28, 2012, the board of directors of the Federal Home Loan Bank of Topeka ("FHLBank") approved certain amendments to FHLBank’s Bylaws. Such amendments became effective on that same date. FHLBank’s Bylaws were amended to:

• Clarify that stockholder voting is subject to the limitations of the regulations of the Federal Housing Finance Agency;
• Clarify the role of the secretary of the board;
• Align the quorum requirement for telephonic meetings of committees with the quorum requirement for in-person meetings of committees;
• Revise the number of days in which the board must be given notice of proposed amendments to the Bylaws; and
• Make certain non-substantive technical changes.

A copy of FHLBank’s amended Bylaws is attached hereto as Exhibit 3.2 and is incorporated herein by reference.
