Item 7.01 Regulation FD Disclosure.
On September 27, 2012, Nash-Finch Company distributed a Notice of Adjustment of Conversion Rate of the Senior Subordinated Convertible Notes Due 2035 (the “Notes”) to holders of the Notes, a copy of which is attached as Exhibit 99.1 to this report.
