On September 24, 2012, Voyager Oil & Gas, Inc. (doing business under the assumed business name Emerald Oil, Inc.) (the “Company”) entered into an Underwriting Agreement (the “Underwriting Agreement”), filed herewith as Exhibit 1.1, with Johnson Rice & Company L.L.C., as representative of the several underwriters named therein (collectively, the “Underwriters”), and Global Hunter Securities, L.L.C., as the qualified independent underwriter, pursuant to which the Company will sell 93,750,000 shares of its common stock, par value $0.001 per share (“Common Stock”), at a public offering price of $0.80 per share. The Underwriters were also granted an over-allotment option for a period of 30 days to purchase up to a maximum of 14,062,500 additional shares of the Common Stock from the Company. The material terms of the offering of the shares of Common Stock are described in the prospectus supplement dated September 25, 2012, as filed by the Company with the Securities and Exchange Commission (the “Commission”). The offer and sale of the shares of Common Stock were registered with the Commission pursuant to a Registration Statement on Form S-3 (File No. 333-181551), and the closing is expected to occur on September 28, 2012.

The Company intends to use the net proceeds from this offering of approximately $69.1 million (after deducting underwriting discounts and commissions and estimated offering expenses) and the net proceeds from any exercise of the underwriters’ option to purchase additional shares of Common Stock, along with cash on hand, to repay a portion of its outstanding indebtedness, fund its drilling and development expenditures and leasehold acquisitions, including its McKenzie County, North Dakota acreage acquisition, and for general corporate purposes, including working capital.

Some of the Underwriters and their affiliates have performed investment and commercial banking and advisory services for the Company and its affiliates from time to time for which they have received customary fees and expenses. The Underwriters and their affiliates may, from time to time, engage in transactions with and perform services for the Company in the ordinary course of their business.

The Underwriting Agreement contains customary representations, warranties and agreements of the Company, and customary conditions to closing, indemnification rights, obligations of the parties and termination provisions. The foregoing description of the Underwriting Agreement is qualified in its entirety by reference to such Underwriting Agreement, a copy of which is filed herewith as Exhibit 1.1 and is incorporated herein by reference.
