Item 5.03
Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On September 25, 2012, Inland Real Estate Corporation (the "Company") filed an amendment with the Maryland State Department of Assessments and Taxation to the Company’s Fourth Amended and Restated Articles of Incorporation. The amendment increases the total number of shares of preferred stock that the Company has authority to issue from 6,000,000 to 12,000,000. The amendment was previously approved by the stockholders of the Company and became effective on the date of filing. The amendment is attached to this 8-K as Exhibit 3.1 and is incorporated into this Item 5.03 disclosure by reference.
