Item 5.05 Amendments to the Registrant's Code of Ethics, or Waiver of a Provision of the Code of Ethics.

On September 20, 2012, the Board of Directors of the Federal Home Loan Bank of New York (the "FHLBNY") approved various amendments to its Code of Business Conduct and Ethics (the "Code").

Most of the changes were technical or administrative in nature. Section C 4 of the Code was revised to adjust the definition of "insubstantial" gifts by increasing the ceiling of what constitutes such gifts from gifts from any one giver with a fair market value in any one calendar year of less than $200 to gifts with a fair market value of less than $250.

The foregoing summary is qualified in its entirety by reference to the full text of the Code as amended and restated, a copy of which is attached as Exhibit 14.1 to this Current Report on Form 8-K and is incorporated by reference into this Item 5.05.

The Code in general applies to all of the FHLBNY’s officers, directors and employees. The Code has been posted in the Corporate Governance section of the FHLBNY’s website at www.fhlbny.com.
