(d)           This Amendment No. 1 to Current Report on Form 8-K/A (the “Amendment”) amends the Current Report on Form 8-K of Summer Infant, Inc. (the “Company”), dated June 29, 2012, related to the appointment of Ms. Carol Bramson to the Company’s Board of Directors (the “Board”).  This Amendment is being filed to report Ms. Bramson’s committee assignments.

 

On September 11, 2012, the Board appointed Ms. Bramson to each of the Audit Committee and the Compensation Committee.  Ms. Bramson will also serve as Chairperson of the Compensation Committee, and the Board reduced the size of the Compensation Committee from four to three members.  Following Ms. Bramson’s appointment, the members of the Audit Committee are Richard Wenz (Chairperson), Dan Almagor and Ms. Bramson, and the members of the Compensation Committee are Ms. Bramson (Chairperson), Mr. Wenz and Derial Sanders.
