On September 7, 2012, Mr. Herbert H. Tate informed the Board of Directors of NRG Energy, Inc. (the “Company”) of his intention to resign from the Board effective September 7, 2012, to pursue other interests. His decision to resign was not as a result of any disagreement with the Company or its management. Mr. Tate has served on the Board of Directors since December 2003.
