Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 29, 2012, Robert Todd DeYoung resigned as Executive Vice President, Strategy and Chief Marketing Officer of Career Education Corporation (the “Company”), effective as of the close of business on September 5, 2012, to accept a position with another company. Mr. DeYoung’s resignation comes as the Company moves ahead with its strategy to decentralize the domestic marketing functions into each of its two domestic education groups – Career Schools and University.
