Ralph F. Boyd, Jr. and Mei Xu were elected directors of Sandy Spring Bancorp, Inc. at the regular meeting of the board of directors on August 29, 2012.  Mr. Boyd will serve on the Credit and Investment Risk Committee and Ms. Xu will serve on the Compensation Committee.

Mr. Boyd, age 55, is the former President and CEO of the Freddie Mac Foundation.

Ms. Xu, age 44, is the President and co-founder of Pacific Trade International, Inc.

The Company issued a news release announcing the appointment of Mr. Boyd and Ms. Xu on August 30, 2012. A copy of the news release is included as Exhibit 99.1 to this report and is incorporated herein by reference.
