SECTION 1 – REGISTRANT’S BUSINESS AND OPERATIONS

 

Item 1.02. Termination of a Material Definitive Agreement.

On August 24, 2012, Visteon Korea Holdings Company, an indirect South Korean subsidiary of Visteon Corporation, permanently reduced the available commitments under its KRW1 trillion Bridge Facility Agreement (the “Bridge Agreement”) with Kookmin Bank, and completed the repayment of all loans outstanding under the Bridge Agreement on August 28, 2012.
