Item 5.02                     Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On August 23, 2012, Greg D. Vanek, President and Chief Executive Officer of NLASCO, Inc., the insurance holding company subsidiary of Hilltop Holdings Inc., submitted his resignation, effective as of December 31, 2012.  The Company will endeavor to appoint a new President and Chief Executive Officer of NLASCO, Inc. by January 1, 2013.  Mr. Vanek will remain a valued resource and become the non-executive Chairman of the Board of NLASCO, Inc. at year end.  He will receive $100,000 per year for his service as Chairman of the Board of NLASCO, Inc.
