On August 28, 2012, EQM Technologies & Energy, Inc. (OTCQB: EQTE) (the “Company”) is filing a press release announcing that its Form 10 Registration Statement, which was initially filed with the Securities and Exchange Commission on June 28, 2012, became effective, and that the Company’s common stock began trading on the OTCQB marketplace. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
