Item 8.01. Other Events.
On August 23, 2012, Oil States International, Inc. (the "Company") issued a press release announcing its Board of Directors has authorized $200,000,000 for the repurchase of the Company's Common Stock, par value $.01 per share. A copy of the press release is filed herewith as Exhibit 99.1 and is incorporated herein by reference.
