ITEM 5.03 AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN FISCAL YEAR
On August 23, 2012, NYSE Euronext amended and restated its bylaws. The amendment reflects certain changes made to require that a majority (as opposed to 75%) of the board of directors of NYSE Euronext be required to be independent. In addition, the amendment replaces references to NYSE Alternext US LLC with references to NYSE MKT LLC in accordance with the prior change in name of that entity.
The second amended and restated bylaws, marked to show changes to the former bylaws, are attached hereto as Exhibit 3.1 and are incorporated by reference.
