Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Pennsylvania Real Estate Investment Trust (the “Company”) announced today that Edward A. Glickman, the Company’s President and Chief Operating Officer, will be leaving as an officer of the Company effective August 31, 2012. Under the terms of Mr. Glickman’s employment agreement with the Company, he will receive a payment of approximately $2.7 million in connection with his departure, which amount is in addition to the payment of the amounts accrued under Mr. Glickman’s supplemental retirement plan. All of Mr. Glickman’s outstanding unvested restricted shares will also vest and he will remain eligible to receive shares under the Company’s Restricted Share Unit Programs based on the achievement of the performance metrics established by those programs as if his employment had not terminated.
