Results of Operations and Financial Condition.

On August 14, 2012, Pioneer Power Solutions, Inc. issued a press release announcing its financial results for the fiscal quarter ended June 30, 2012. A copy of this press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
