Item 7.01 Regulation FD Disclosure.
On August 14, 2012, Ceradyne, Inc. issued a press release announcing it has received a contract for a newly designed lightweight ceramic armor system for groin armor protection inserts (GAPI), with a maximum value of $6,546,000 over five years. A copy of this press release is being furnished as Exhibit 99.1 to this Current Report on Form 8-K.
