Item 2.02.   Results of Operations and Financial Condition.

On August 9, 2012, FirstCity Financial Corporation (the “Company”) held a conference call to discuss its earnings for the quarter ended June 30, 2012. A copy of the conference call transcript is attached hereto as Exhibit 99.1.
