ITEM 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers

Southern Copper Corporation (the “Company”) reported the resignation of Mr. Jose de los Heros Ugarte as Vice President, Commercial and Named Executive Officer of the Company, effective August 10, 2012.  Mr. de los Heros Ugarte served as Vice President, Commercial since November 21, 2008 and held several positions with the Company since 1983.  He directed the Company’s commercial operations worldwide from the offices in Peru, Mexico and the United States.

Mr. de los Heros resigned to pursue other professional opportunities and there were no disagreements with the Company or management.  The Company expressed its gratitude and recognition to Mr. de los Heros for his valuable service to the Company for 29 years.
