| Item 5.02. | Election of New Director |
On July 24, 2012, the Company’s Board of Directors elected Preston M. Geren III as a member of the Board. Mr. Geren was appointed to the Directors Loan Committee of Texas Capital Bank. In connection with his election, Mr. Geren was granted 892 cash-based restricted stock units (‘RSUs”) under the Company’s 2005 Long-Term Incentive Plan that vest on July 24, 2013. Mr. Geren also received 3,000 cash-based RSUs under the Company’s 2005 Long-Term Incentive Plan that vest in three equal annual installments.
