(2) The selling shareholders will offer their shares at $.15 per share.  The price of $0.15 is a fixed price at which the selling shareholders may sell their shares until the Company’s common stock is quoted on the Over-The-Counter (the “OTC”) Bulletin Board.   The fixed price of $0.15 has been arbitrarily determined as the selling price based upon the original purchase price paid by the selling shareholders which was $0.10.   There is no public market for our securities. Our common stock is not traded on any exchange or quoted on the over-the-counter market. We intend to have a market maker file an application with the Financial Industry Regulatory Authority (“FINRA”) for our common stock to be eligible for quotation on the OTC Bulletin Board.  We do not yet have a market maker who has agreed to file such application and there can be no assurance that a market maker will agree to file the necessary documents with FINRA, which operates the OTC Bulletin Board, nor can there be any assurance that such an application for quotation will be approved.  The shares must be quoted on the OTCBB or admitted to a registered national stock exchange prior to establishing a market priced sales of your shares. We will not receive proceeds from the sale of shares from the selling shareholders.


The selling shareholders are underwriters, within the meaning of Section 2(11) of the Securities Act, and as such, are subject to the prospectus delivery requirements of the Securities Act.


In the event of a stock split, stock dividend or similar transaction involving our common stock, the number of shares registered shall automatically be increased to cover the additional shares of common stock issuable pursuant to Rule 416 under the Securities Act of 1933, as amended.

This prospectus relates to the resale of  178,000 shares of common stock, par value $0.0001, of Plaster Caster, Inc., which are issued and outstanding and held by persons who are our shareholders. The Company will not receive any proceeds from these sales; the selling shareholders identified in this prospectus will receive all the proceeds from this offering.

 

Our common stock is presently not traded on any market or securities exchange. The 178,000 shares of our common stock can be sold by selling shareholders at a fixed price of $0.15 per share. The selling shareholders are underwriters, within the meaning of Section 2(11) of the Securities Act, and as such, are subject to the prospectus delivery requirements of the Securities Act. The fixed price of $0.15 has been determined arbitrarily. If all 178,000 shares are sold, the selling shareholders will receive an aggregate of $26,700 of proceeds. After the effective date of the registration statement relating to this prospectus, we hope to have a market maker file an application with FINRA, for our common stock to be eligible for trading on the OTC Bulletin Board. We do not yet have a market maker who has agreed to file such application. There is no guarantee that our common stock will be eligible for trading or quoted on the OTC Bulletin Board. Corporate Background


Plaster Caster, Inc. was incorporated on April 17, 2007 under the laws of the State of Michigan. From the date of our formation until May 1, 2010 we did not have any business activity except for the development of our website and organizational activities. We do not have revenues, have minimal assets and have incurred losses since inception. We are a development-stage company.  We currently have no employees other than our officer who is also our sole director.  We have never intended and do not intend to be a blank check company. We have a specific business plan and do not intend to engage in any merger, acquisition or business reorganization with any entity.


Our auditors have issued a going concern opinion. This means that that there is substantial doubt that we can continue as an ongoing business for the next twelve months.


Although we do not currently maintain a physical office, our mailing address is 1000 Country Club Road in Ann Arbor, MI 48103 which is a residential home owned by our majority shareholder, Barton PK, LLC and our telephone number is 734-719-0867. Our website address is www.bidforjets.com. Information contained on our website, or which can be accessed through the website, does not constitute a part of this registration statement.

























The Offering


Securities offered:

178,000 shares of common stock, par value $0.0001 per share

Offering price :

The selling shareholders purchased their shares of common stock from us at $0.10 per share and will be offering their shares of common stock at an arbitrarily determined price of $0.15 per share, which includes an increase, from the price at which it was purchased. The shares will be offered at the fixed price of $0.15 per share for the duration of this offering.


The selling shareholders are underwriters, within the meaning of Section 2(11) of the Securities Act, and as such, are subject to the prospectus delivery requirements of the Securities Act. We have agreed to bear the expenses relating to the registration of the shares for the selling shareholders.

678,000 shares of common stock.

Shares outstanding after offering:

678,000 shares of common stock.

 

One of our primary shareholder currently owns 73.7% of our outstanding common stock. As a result, it has substantial control over all matters submitted to our shareholders for approval.










Market for the common shares:

There has been no market for our securities. Our common stock is not traded on any exchange or on the over-the-counter market. After the effective date of the registration statement relating to this prospectus, we hope to have a market maker file an application with the FINRA for our common stock to eligible for trading on the OTC Bulletin Board. We do not yet have a market maker who has agreed to file such application. There is no guarantee that our common stock will be eligible for trading or quoted on the OTC Bulletin Board.

 

Consequently, a purchaser of our common stock may find it difficult to resell the securities offered herein should the purchaser desire to do so when eligible for public resale.

 

Use of proceeds:

We will not receive any proceeds from the sale of shares by the selling shareholders. We have agreed to bear the expenses relating to the registration of the shares for the selling shareholders.

Going Concern Considerations:

The Company has a net loss of $8,414 for the year ended December 31, 2011 and a net loss of $10,466 from April 17, 2007 (inception) through December 31, 2011.

 

The ability of the Company to continue as a going concern is dependent on management's plans which include raising additional funds for further implementation of the Company’s business plan and continuing to raise funds through debt or equity raises. The Company will likely rely upon related party debt or equity financing in order to ensure the continuing existence of the business. We currently do not have in place any arrangements or plans to obtain any financing. Although our officers and directors have orally agreed to lend us funds if capital is required for the operations of the Company, there is no guarantee that our officers and directors will lend us sufficient funds to adequately fund operations.


The accompanying financial statements have been prepared on a going concern basis, which contemplates the realization of assets and the satisfaction of liabilities in the normal course of business. These financial statements do not include any adjustments relating to the recovery of the recorded assets or the classification of the liabilities that might be necessary should the Company be unable to continue as a going concern.

Risk factors relating to our company


Our auditors have issued a going concern opinion. This means that there is substantial doubt that we can continue as an ongoing business.


Our auditors issued a going concern opinion in their report for our fiscal year ended December 31, 2011 regarding concerns about our ability to continue as a going concern. We are a development stage company. We had no revenues and incurred a net loss of $8,414  for the year ended December 31, 2011 and a net loss of $10,446 for the period April 19, 2007 (inception) to December 31, 2011. There can be no assurance that sufficient funds required during the next year or thereafter will be generated from operations or that funds will be available from external sources such as debt or equity financings or other potential sources. The lack of additional capital resulting from the inability to generate cash flow from operations or to raise capital from external sources would force us to substantially curtail or cease operations and would, therefore, have a material adverse effect on our business. Furthermore, there can be no assurance that any such required funds, if available, will be available on attractive terms or that they will not have a significant dilutive effect on our existing stockholders.


We are small company with limited resources compared to some of our current and potential competitors and we may not be able to compete effectively and obtain market share. In addition, intense competition in the market in which we compete could prevent us from generating any revenue and prevent us from achieving profitability.


Internet publishing generally and, in particular, the private aviation market, is a dynamic, high-growth market and is rapidly changing and intensely competitive. Our competition for customers comes from a variety of sources including: other websites, traditional print magazines, and magazines targeting corporate travel and high net worth individuals.


Most of our potential competitors have longer operating histories, significantly greater resources, name recognition and a larger base of customers than we may have. As a result, these competitors may have greater credibility with our potential customers. They also may be able to devote greater resources to the development, promotion and sale of their products than we can.


We lack an operating history. There is no assurance our future operations will result in profitable revenues. If we cannot generate sufficient revenues to operate profitably, we may suspend or cease operations.


Since we are a young company, it is difficult to evaluate our business and prospects. At this stage of our business operations, even with our good faith efforts, potential investors have a high probability of losing their entire investment. Our future operating results will depend on many factors, including the ability to generate sustained and increased demand and acceptance of our website, the level of our competition, and our ability to attract and maintain key management and employees. While management believes their estimates of projected occurrences and events are within the timetable of their business plan, there can be no guarantees or assurances that the results anticipated will occur.









Our business may never operate at a profit.


If we do not achieve profitability, our business may not grow or operate. We may not achieve sufficient revenues or profitability in any future period. We will need to generate revenues from the sales of advertising on our website, or take steps to reduce operating costs to achieve and maintain profitability. Even if we are able to generate revenues, we may experience price competition that will lower our gross margins and our profitability. If we do achieve profitability, we cannot be certain that we can sustain or increase profitability on a quarterly or annual basis.


If we do not raise additional funds, we not be able to operate our business and will have to stop development of our business plan.


We may not be able to obtain additional funds that we will require. We do not presently have adequate cash from operations or financing activities to meet our short term or long-term needs. If unanticipated expenses, problems, and unforeseen business difficulties occur, which result in material delays, we will not be able to operate within our budget. If we do not achieve our internally projected sales revenues and earnings, we will not be able to operate within our budget. If we do not operate within our budget, we will require additional funds to continue our business. If we are unsuccessful in obtaining those funds, we cannot assure you of our ability to generate positive returns to the Company. Further, we may not be able to obtain the additional funds that we require on terms acceptable to us, if at all. We do not currently have any established third-party bank credit arrangements.  If the additional funds that we may require are not available to us, we may be required to curtail significantly or to eliminate some or all of our development, publishing, or sales and marketing programs.



We are highly dependent on JD Klamka our President and CEO. The loss of Mr. Klamka, whose knowledge, leadership, and technical expertise upon which we rely, would harm our ability to execute our business plan.


We are largely dependent on JD Klamka, our President and CEO, for specific proprietary technical knowledge and the Company market knowledge. Our ability to successfully market our website may be at risk from an unanticipated accident, injury, illness, incapacitation, or death of Mr. Klamka. Mr. Klamka is involved in other businesses and will only devote 2 hours per week to Plaster and its activities . Upon such occurrence, unforeseen expenses, delays, losses and/or difficulties may be encountered. Our success may also depend on our ability to attract and retain other qualified management and sales and marketing personnel. We compete for such persons with other companies and other organizations, some of which have substantially greater capital resources than we do. We cannot give you any assurance that we will be successful in recruiting or retaining personnel of the requisite caliber or in adequate numbers to enable us to conduct our business.


Because our sole officer and director will only be devoting limited time to our Company, our operations may be sporadic which may result in periodic interruptions or suspensions








of operations. This activity could prevent us from implementing our business plan which may cause us to suspend or cease operations.


Our sole officer and director, JD Klamka, will only be devoting limited time to our operations. Because our sole officer and director has full time employment which is his priority outside of our company he will only be devoting limited time to our Company, our operations may be sporadic and occur at times which are convenient to him. As a result, operations may be periodically interrupted or suspended which could result in a lack of revenues and a possible cessation of operations.



The lack of public company experience of our management team could adversely impact our ability to comply with the reporting requirements of U.S. securities laws.


Our management team lacks public company experience, which could impair our ability to comply with legal and regulatory requirements. Our senior management has never had responsibility for managing a publicly traded company. Such responsibilities include complying with federal securities laws and making required disclosures on a timely basis. Our senior management may not be able to implement programs and policies in an effective and timely manner that adequately respond to such increased legal, regulatory compliance and reporting requirements, including the establishing and maintaining internal controls over financial reporting. Any such deficiencies, weaknesses or lack of compliance could have a materially adverse effect on our ability to comply with the reporting requirements of the Securities Exchange Act of 1934 which is necessary to maintain our public company status. If we were to fail to fulfill those obligations, our ability to continue as a U.S. public company would be in jeopardy in which event you could lose your entire investment in our company.



We will rely on outside service providers such as writers and web developers that may not be available to us.


We intended to hire freelance writers and web developers to develop our website. There is no assurance that we can locate any of these service providers and if we are able to that we will be able to hire them on a price and terms acceptable to us. In the event we are unable to hire any of these service providers, we may be forced to suspend or limit our operations.


If capital is not available to us to expand our business operations, we will not be able to pursue our business plan.


We do not have sufficient cash to complete our website and market it to consumers and potential advertising partners. Cash flows from operations, to the extent available, will be used to fund these expenditures. We intend to seek additional capital from loans from our majority shareholder and from public and private equity offerings. Our ability to access capital will depend on reaching certain milestones in our business plan such as attracting a sizable number of viewers. It will also be dependent upon the status of the capital markets at the time such capital is sought. Should sufficient capital not be available, the development of our business plan could be








delayed and, accordingly, the implementation of the our business strategy would be adversely affected. In such event it would not be likely that investors would obtain a profitable return on their investments or a return of their investments.


External events that are beyond our control such as natural disasters, terrorist attacks, or a recession may harm our business.


Events like the war with Iraq or the terrorist attacks on the U.S. in 2001 or the current global financial crisis have a negative impact on the travel industry. We are not in a position to evaluate the net effect of these circumstances on our business. In the longer term, our business might be negatively affected by financial pressures on the travel industry. If such events result in a long-term negative impact on the travel industry, such impact could have a material adverse effect on our business.





We may not be able to develop awareness of our brand name which we believe is critical to our success.


We believe that creating awareness of the Bidforjets brand name is critical to achieving widespread acceptance of our business. Brand recognition is a key differentiating factor among providers of online advertising opportunities, and we believe it could become more important as competition in our industry increases. In order to maintain and build brand awareness, we must succeed in our marketing efforts. If we fail to successfully promote and maintain our brand, incur significant expenses in promoting our brand and fail to generate a corresponding increase in revenue as a result of our branding efforts, or encounter legal obstacles which prevent our continued use of our brand name, our business could be materially adversely affected.


Our success is dependent upon our ability to attract new key personnel.


Our operations will also depend to a great extent on our ability to attract new key personnel with relevant experience and retain existing key personnel in the future. The market for qualified personnel is extremely competitive. Our failure to attract additional qualified employees could have a material adverse effect on our prospects for long-term growth.



We may not be able to access third party technology upon which we depend which could limit or curtail our business.


We use and will continue to require technology and software products from third parties, Our present website is hosted without charge on a server leased by our former President, Peter Klamka. We do not have any contracts for any hosting services or website development and maintenance which we will need. We have no agreement with Peter Klamka for continued hosting of our site. Technology may not continue to be available to us on commercially reasonable terms, or at all. Our business will suffer if we are unable to access this technology, to








gain access to additional products or to build out our existing site. This could cause delays in our development and introduction of new features or enhancements of our existing website until equivalent or replacement technology can be accessed, if available, or developed internally, if feasible. If we experience these delays, our business could be materially adversely affected.


There is a high degree of risk that our website will not turn out to be commercially viable.


A website such as ours involves a high degree of risk that will not attract a sufficient number of consumers to become commercially viable. The costs building and marketing our website is uncertain.


Since our director and officer has no previous private aviation experience, investors cannot rely on our officers and directors as being experts in the area of travel which is our business focus.


Our officer and director has no previous experience in the private aviation industry. All business decisions made by him regarding travel will be in reliance on the advice of others due to this lack of experience. If reliable advice is not available, it is unlikely our business will succeed.


Our success depends on our ability to attract customers in a cost-effective manner.


Our success depends on our ability to attract customers in a cost-effective manner. We will need to have relationships with providers of online services, search engines, directories and other web sites and e-commerce businesses to provide content, advertising banners and other links that direct customers to our web site. We rely on these relationships as significant sources of traffic to our web site. If we are not successful  in attracting and retaining customers in a cost-effective manner, our business will fail.


Risks relating to our common stock


We may, in the future, issue additional common stock, which would reduce investors’ percent of ownership and may dilute our share value.


Our articles of incorporation authorize the issuance of 4,000,000 shares of common stock, par value $.0001 per share, of which 678,000 shares are currently issued and outstanding. Our articles of incorporation authorize the issuance of 1,000,000 shares preferred stock which carry voting rights of 20 votes per share of which none are issued and outstanding.  The future issuance of common stock may result in substantial dilution in the percentage of our common stock held by our then existing shareholders. We may value any common stock issued in the future on an arbitrary basis. The issuance of common stock for future services or acquisitions or other corporate actions may have the effect of diluting the value of the shares held by our investors, and might have an adverse effect on any trading market for our common stock.

 

Our common stock is subject to the "penny stock" rules of the Securities and Exchange Commission (“SEC”) and the trading market in our securities is limited, which makes transactions in our stock cumbersome and may reduce the value of an investment in our stock.








 

Trading in our common stock is subject to the “penny stock” rules. The SEC has adopted regulations that generally define a penny stock to be any equity security that has a market price of less than $5.00 per share, subject to certain exceptions. These rules require that any broker-dealer that recommends our common stock to persons other than prior customers and accredited investors, must, prior to the sale, make a special written suitability determination for the purchaser and receive the purchaser’s written agreement to execute the transaction. Unless an exception is available, the regulations require the delivery, prior to any transaction involving a penny stock, of a disclosure schedule explaining the penny stock market and the risks associated with trading in the penny stock market. In addition, broker-dealers must disclose commissions payable to both the broker-dealer and the registered representative and current quotations for the securities they offer. The additional burdens imposed upon broker-dealers by such requirements may discourage broker-dealers from effecting transactions in our common stock, which could severely limit the market price and liquidity of our common stock.

Because a single shareholder, Barton PK, LLC owns 73.7% of our issued and outstanding common stock, it can exert significant influence over corporate decisions that may be disadvantageous to minority shareholders.


Barton PK, LLC, is our largest stockholder, holding beneficially, as of April 1, 2012, approximately 73.7% percent of our outstanding shares. Through their share ownership, they are in a position to control the company and to elect our entire board of directors. Our sole officer and director, JD Klamka is a 1% member but is not an officer or director of Barton PK,LLC.


Accordingly, this entity will be able to exert significant influence over the direction of our affairs and business, including any determination with respect to our acquisition or disposition of assets, future issuances of common stock or other securities, and the election or removal of directors. Such a concentration of ownership may also have the effect of delaying, deferring, or preventing a change in control of the Company or cause the market price of our stock to decline.


Notwithstanding the exercise of his fiduciary duties as officer and director and any duties that such other stockholder may have to us or our other stockholders in general, Mr. JD Klamka as a member of Barton PK, LLC may have interests different than yours.


We may issue shares of preferred stock in the future that may adversely impact your rights as holders of our common stock.








Our amended articles of incorporation authorize us to issue up to 1,000,000 shares of preferred stock, par value $.0001 per share with voting rights of 20 votes per share. As a result, our board of directors could authorize the issuance of a series of preferred stock that would grant to holders control of the corporation. To the extent that we do issue such additional shares of preferred stock, your rights as holders of common stock could be impaired thereby, including, without limitation, dilution of your ownership interests in us. Our financial statements may therefore not be comparable to those of companies that comply with such new or revised accounting standards.

We will cease to be an emerging growth company as described in the following risk factor. Until such time, however, we cannot predict if investors will find our common stock less attractive because we may rely on these exemptions. If some investors find our common stock less attractive as a result, there may be a less active trading market for our common stock and our stock price may be more volatile.

We will remain an “emerging growth company” for up to five years, although we would cease to be an “emerging growth company” prior to such time if we have more than $1.0 billion in annual revenue, more than $700 million in market value of our common stock is held by non-affiliates or we issue more than $1.0 billion of non-convertible debt over a three-year period.

This prospectus relates to the resale of  178,000 issued and outstanding shares of the Company’s common stock, par value $0.0001 per share, to be offered and sold by the holders thereof. Such shares will be offered and sold at a fixed price of $0.15 per share for the duration the offering. The selling shareholders are underwriters, within the meaning of Section 2(11) of the Securities Act. As underwriters, the selling shareholders are subject to the prospectus delivery requirements of the Securities Act. The fixed price of $0.15 has been arbitrarily determined. The 178,000 shares to be resold are shares of our common stock which are issued and outstanding and will be offered and sold by the holders thereof. Such shares were offered and sold by us at a purchase price of $0.10 per share to the selling shareholders in private placements conducted from








October 2011 through July 2012 to the selling security holders pursuant to the exemptions from registration under the Securities Act provided by Regulation D promulgated thereunder.




USE OF PROCEEDS


The selling shareholders are selling shares of common stock covered by this prospectus for their own account. We will not receive any of the proceeds from the resale of these shares. We have agreed to bear the expenses relating to the registration of the shares for the selling shareholders.


DETERMINATION OF OFFERING PRICE


The selling shareholders will be offering the shares of common stock being covered by this prospectus at a fixed price of $0.15 per share. The fixed price of $0.15 has been arbitrarily determined as the selling price based upon the original purchase price paid by the selling shareholders of $0.10. plus an arbitrarily determined increase.


Such offering price does not have any relationship to any established criteria of value, such as book value or earnings per share. Because we have no significant operating history, the price of our common stock is not based on past earnings, nor is the price of our common stock indicative of the current market value of the assets owned by us. No valuation or appraisal has been prepared for our business and potential business expansion. "Dilution" represents the difference between the offering price and the net tangible book value per share immediately after completion of the offering. Net tangible book value per share is determined by dividing the net tangible book value of the Company (total assets less intangible assets and liabilities) by the total number of shares of common stock outstanding.

Description of the Business


History and Overview of the Company


Plaster Caster Inc. was incorporated on April 19, 2007 under the laws of the State of Michigan.  From the date of formation until our website, www.bidforjets.com became operational in May 2010, we did not have any business activity except for the development of our website and organizational activities.  


Specifically, our website currently is a collection of news feeds and videos related to private aviation. We have gathered these feeds from publicly available places on the Internet. We intend to build out our website to have additional features for our projected audience.


We expect to offer the following: a directory of private aviation companies that provide charter flights, a directory of fractional ownership programs, safety information on various companies and specific planes, videos related to private aviation, a newswire covering private aviation, and a description of the various types of planes available for rental, charter, or fractional ownership.


We currently have no employees other than our executive officer who is also our sole director. We have never intended and do not intend to be a blank check company. We have a specific business plan and do not intend to engage in any merger, acquisition or business reorganization with any entity.


Our auditors have issued a going concern opinion. This means that that there is substantial doubt that we can continue as an ongoing business for the next twelve months.

Our Website


In addition to our current content, we anticipate offering a listing of private aviation charter companies which will be organized by region. We define private aviation charter companies as companies that own or lease planes that are offered on a per trip basis to retail customers.


Our belief is that most of the initial visitors to our site will be seeking information about short flights for business purposes. We are basing our belief solely on our research of the industry that








is publicly available. We define short flights internally as flights that are under two hours in flight time.


We also intend to offer descriptions, photographs, and videos of the various types of popular private planes. Private jets vary in size. For example, light cabin jets usually seat a maximum of seven persons. Large cabin jets can usually seat a maximum of eighteen persons. Some aircraft types are suited for shorter flights while others can fly internationally. In addition, some private jets are designed for high speed flight while others are designed to operate at slower speeds landing at small airports with short runways. There are approximately 50 different types of private jets operating today each with its own unique set of capabilities and characteristics.


We intend to have a section on our website dedicated to weather. Air travel generally is impacted by thunderstorms, tropical weather such as hurricanes, fog, and snow and ice.


Private jets often fly in and out of smaller airports that have limited facilities and/or equipment to deal with weather specifically snow and ice. When there is snow on the ground, some airports do not have the capabilities to plow regularly. Adverse weather can lead to airport delays or closures which will require a change in travel plans.


There are several free online services that we intend to link to that provide comprehensive, timely weather information for private aviation customers. Many of the regional airports that cater to private jet travel also make their weather conditions available via their websites which we will also link to on our site.


We also intend to have a section on factional ownership or jet cards. Fractional ownership usually represents a commitment in excess of $1,000,000 for an equity ownership in a particular aircraft. Jet cards are offered on through a variety of operators that are sold in increments of 25 hours. Finally, charter debit cards are usually sold in denominations of $100,000 or more offering a discount due to volume pricing and offering access to different types of aircraft.


Private jet travelers often have different needs at different times. We feel that access to our information will allow the consumer to make a better decision in a more timely manner than if they had to search various sources on the Internet By providing this needed information to the consumer we feel they will return repeatedly to our site.


We also intend to offer a newswire of press releases, news items, and other current information on private jet travel on our home page. Upon receipt of funding, we would retain freelance writers to prepare our own articles. However, we will use royalty free, public newswires until funding is available.


We plan to generate revenues from advertising fees from companies seeking to reach our expected audience. Our initial advertising plan will be to join an advertising network such as Google’s AdSense. AdSense is an ad serving application run by Google Inc. Website owners can enroll in this program to enable text, image, and video advertisements on their websites. These advertisements are administered by Google and generate revenue on either a per-click or per-impression basis.









Many websites use AdSense to monetize their content; it is a very popular advertising network. AdSense has been particularly important for delivering advertising revenue to small websites that do not have the resources for developing advertising sales programs and sales people. To fill a website with advertisements that are relevant to the topics discussed, webmasters implement a brief script on the websites' pages.


We have not made application to participate in Google’s AdSense program at this time. There is no guarantee that if application is made that www.bidforjets.com will be accepted into the program.


There are several other competing programs that we could make application to in the event we are unable to secure a relationship with Google’s Adsense.


Once we have secured an advertising network relationship, we will implement our social media and marketing campaign to create awareness and potentially traffic  for our website. We will require additional funds to execute our social media promotions which we do not have currently.


We believe that our redesigned site with an advertising network relationship that is promoted through social media will allow us to generate revenues.



Growth Strategy


Key elements of our strategy include:


Build Strong Brand Awareness. We believe that it is essential to establish a strong brand with Internet users and within certain segments of the private aviation industry. We intend to utilize online marketing to promote our brand to consumers. In addition, we believe that we build brand awareness by offering an outstanding website that is promoted by word-of-mouth.


Increase Reach: In order to attract users to our website, we intend to utilize advertising campaigns to grow our business such as social media like Twitter, Facebook, and Linkedin. We believe that we also can attract more users by offering a quality website that is promoted by word-of-mouth.



Marketing


We intend to drive traffic to www.bidforjets.com through online marketing vehicles such as banner advertising, custom Youtube videos, and strategic partnerships with relevant Web sites and portals. Additionally, our intended participation in various affiliate programs and social media pages will allow it to expand cross-promotional relationships with other Web sites. We do not have any agreements or arrangements with any parties regarding these programs, other than our current merchant partner.









Private Placement


We raised an aggregate of $17,800 from 29 investors in a private placement between October  2011 and July 2012. These funds were used by us primarily to develop our corporate website, and pay for the day to day needs of the company including accounting and legal fees.


Competition


There are few if any barriers to entry into Internet publishing. Competition is intense in our industry. The company competes with other websites that are dedicated to private aviation.  Our business is highly competitive. We also compete with traditional print magazines catering to private aviation. All of our competitors are more experienced and have greater financial resources than Plaster Caster Inc. Plaster Caster Inc. has no generated no revenue and has limited assets and experience.


Employees


We have no full time employees at this time. All functions, including development, strategy, negotiations and clerical are currently being provided on a voluntary basis by our sole officer and director.



DESCRIPTION OF PROPERTY


We do not lease or own any real property. We do not believe that at this stage in our development we need physical space. We are not paying anything for using their address as our mailing address. We believe that until and unless our business develops, we do not need physical office space.

Market Information


There has been no market for our securities. Our common stock is not traded on any exchange or on the over-the-counter market. After the effective date of the registration statement relating to this prospectus, we hope to have a market maker file an application with the FINRA for our common stock to be eligible for trading on the OTC Bulletin Board. We do not yet have a market maker who has agreed to file such application. There is no guarantee that our common stock will








be eligible for trading or quoted on the OTC Bulletin Board or that  a trading market will develop, or, if developed, that it will be sustained. Consequently, a purchaser of our common stock may find it difficult to resell the securities offered herein should the purchaser desire to do so when eligible for public resale.


DIVIDEND POLICY


We have not declared or paid dividends on our Common Stock since our formation, and we do not anticipate paying dividends in the foreseeable future. Declaration or payment of dividends, if any, in the future, will be at the discretion of our Board of Directors and will depend on our then current financial condition, results of operations, capital requirements and other factors deemed relevant by the board of directors. There are no contractual restrictions on our ability to declare or pay dividends.

We intend to have a market maker file an application for our common stock to be quoted on the OTC Bulletin Board. However, we do not have a market maker that has agreed to file such application. If our securities are not quoted on the OTC Bulletin Board, a security holder may find it more difficult to dispose of, or to obtain accurate quotations as to the market value of our securities. The OTC Bulletin Board differs from national and regional stock exchanges in that it:


(1) is not situated in a single location but operates through communication of bids, offers and confirmations between broker-dealers, and


(2) securities admitted to quotation are offered by one or more broker-dealers rather than the "specialist" common to stock exchanges.



To qualify for quotation on the OTC Bulletin Board, an equity security must have one registered broker-dealer, known as the market maker, willing to list bid or sale quotations and to sponsor the company listing. If it meets the qualifications for trading securities on the OTC Bulletin Board our securities will trade on the OTC Bulletin Board. We may not

As of April 30, 2011, the Company had a cash balance of $1,133. During 2011, we raised an aggregate of $16,000 from the sale of our common stock in a private placement conducted in  to








the selling security holders pursuant to the exemptions from registration under the Securities Act provided by Regulation D promulgated thereunder. These funds were used for website expenses  and to pay for expenses related to legal and accounting.

During the next 12 months, we hope to effectuate the following:


1st Quarter

Initially, we will focus on enhancing the Company website. Additionally, if the funding is available, the Company plans on formalizing an advertising campaign to increase its customer base. We will focus on the high network individual seeking flights of under one hour between major cities such as New York and Philadephia or New York and Boston.

 

2nd Quarter

In the second quarter the Company hopes to have funds to begin an advertising campaign to increase traffic to the corporate website.  We also hope to focus on social media such as Linkedin where we believe potential consumers of private aviation services tend to spend time when they are online.


3rd Quarter

The third quarter will continue to focus on advertising and the increase of our audience through more video, weather, and airport information on our site.


4th Quarter

In the fourth quarter the Company intends on beginning the search for a marketing executive to assist the company in future growth. Additionally, we will continue to advertise for customers to purchase advertising or marketing campaigns.


The Company believes that such funds will be insufficient to fund its expenses over the next twelve months. There can be no assurance that additional capital will be available to the Company. The Company currently has no agreements, arrangements or understandings with any person to obtain funds through bank loans, lines of credit or any other sources. The officers and directors have orally agreed to lend funds to the Company in the event funds are required for the operations of the Company. However, there is no guarantee that our officers and directors will lend us sufficient funds to operate. Notwithstanding that our officers and directors are committed to ensuring that the Company can operate its business, they are not legally or contractually obligated to lend us any money. Since the Company has no such arrangements or plans currently








in effect, its inability to raise funds for the above purposes will have a severe negative impact on its ability to remain a viable company.


We currently have no commitments with any person for any capital expenditures.



Going Concern Consideration


We are a development stage company. We had no revenues and incurred a net loss of $8,414 for the year ended December 31, 2011 and a net loss of $10,446 for the period April 19, 2007 (inception) to December 31, 2011 which raises substantial doubt about our ability to continue as a going concern. Our ability to continue as a going concern is dependent on our ability to raise additional capital and implement our business plan. Our financial statements do not include any adjustments that may be necessary if we are unable to continue as a going concern.

Critical Accounting Policies and Estimates


Our established policies are outlined in the Note 1 to the financial statements entitled "Summary of Significant Accounting Policies". We continually evaluate the propriety of our accounting methods as new events occur. We believe that our policies are applied in a manner which is intended to provide the user of our financial statements a current, accurate and complete presentation of information in accordance with accounting principles generally accepted in the United States of America. Important accounting practices that require the use of assumptions and judgments are outlined below.


For revenue from product sales, the Company will recognize revenue in accordance with Staff Accounting Bulletin No. 104, “Revenue Recognition” (SAB No. 104), which superseded Staff Accounting Bulletin No. 101, “Revenue Recognition in Financial Statements” (SAB No. 101). SAB No. 104 requires that four basic criteria must be met before revenue can be recognized: (1) persuasive evidence of an arrangement exists; (2) delivery has occurred; (3) the selling price is fixed and determinable; and (4) collectability is reasonably assured. Determination of criteria (3) and (4) are based on management’s judgment regarding the fixed nature of the selling prices of the products delivered and the collectability of those amounts. Potential Conflicts of Interest


Since we do not have an audit or compensation committee comprised of independent directors, the functions that would have been performed by such committees are performed by our Board of Directors. Thus, there is a potential conflict of interest in that our directors have the authority to determine issues concerning management compensation, in essence their own, and audit issues that may affect management decisions. We are not aware of any other conflicts of interest with any of our executives or directors.


Director Independence


We are not subject to listing requirements of any national securities exchange or national securities association and, as a result, we are not at this time required to have our board comprised of a majority of “independent directors.”


EXECUTIVE COMPENSATION


Since our incorporation on May 1. 2010,  JD Klamka has been our President, Chief Executive Officer, Chief Financial Officer and a director. We have no formal employment or consulting agreement with Mr. Klamka.

Since our incorporation on April 19, 2007, no stock options or stock appreciation rights were granted to any of our directors or executive officers, none of our directors or executive officers exercised any stock options or stock appreciation rights, and none of them hold unexercised stock options. We have no long-term incentive plans.

Compensation of Directors


During the period from April 19, 2007 (inception) to December 31, 2011, none of our directors received compensation for services rendered in their capacity as a director. Note 1 - Organization and Summary of Significant Accounting Policies:


Organization:


PLASTER CASTER INC. (the “Company”) was organized in the State of Michigan on April 19, 2007. . The Company is devoting its resources to establishing a internet website dedicated to private aviation, no revenues have been earned during the period from April 19, 2007 (date of inception) to December 31, 2011.



The Company’s fiscal year end is December 31.


Basis of Presentation – Development Stage Company:


The Company has not earned any revenues from limited principal operations.  Accordingly, the Company’s activities have been accounted for as those of a “Development Stage Enterprise” as set forth in Accounting Standards Codification No. 915 “Development Stage Entities”(“ASC 915”).  Among the disclosures required by ASC 915 are that the Company’s financial statements be identified as those of a development stage company, and that the statements of operations, stockholders’ equity (deficit) and cash flows disclose activity since the date of the Company’s inception.

  

Basis of Accounting:


The accompanying financial statements have been prepared on the accrual basis of accounting in accordance with accounting principles generally accepted in the United States.  The financial statements have, in management's opinion, been properly prepared within the framework of the significant accounting policies summarized below:


Cash and Cash Equivalents:


The Company considers all highly liquid debt instruments, purchased with an original maturity of three months or less, to be cash equivalents.


Use of Estimates:


These financial statements have been prepared in accordance with generally accepted accounting principles in the United States of America. Because a precise determination of assets and liabilities, and correspondingly revenues and expenses, depends on future events, the preparation of financial statements for any period necessarily involves the use of estimates and assumption an example being assumptions in valuation of stock options. Actual amounts may differ from these estimates. These financial statements have, in management's opinion, been properly prepared within reasonable limits of materiality and within the framework of the accounting policies summarized below.









Computer Equipment:


Computer equipment is recorded at cost. Depreciation is provided on a straight-line basis over the estimated useful life of the asset.

Net Loss Per Share:


Net loss per share is based on the weighted average number of common shares and common shares equivalents outstanding during the period.


Other Comprehensive Income:


The Company has no material components of other comprehensive income (loss), and accordingly, net income(loss) is equal to comprehensive loss in all periods.


Stock-Based Compensation

In December 2004, Financial Accounting Standards Board (FASB) issued Statement of Financial Accounting Standards No. 123 (Revised 2004), "Share-Based Payment" (SFAS 123 (R)). SFAS 123 (R) requires companies to recognize compensation cost for employee services received in exchange for an award of equity instruments based on the grant-date fair value of the award. The Company adopted the provisions of SFAS 123 (R) on January 1, 2005 using the "modified prospective" application method of adoption which requires the Company to record compensation cost related to unvested stock awards as of January 1, 2005 by recognizing the unamortized grant date fair value of these awards over the remaining service periods of those awards with no change in historical reported earnings. The adoption of this standard did not affect the financial statements for the year ended December 31, 2011.


As of December 31, 2011 there was $Nil of unrecognized expense related to non-vested stock-based compensation arrangements granted and no stock based compensation.


Note 2 – Going Concern:


The accompanying financial statements have been prepared assuming that the Company will continue as a going concern.  As of December 31, 2011 and 2010 and for the years then ended and for the period from inception through December 31, 2011, the Company has had no operations.  As of December 31, 2011, the Company has not emerged from the development stage.   In  view of  these  matters,  the  Company’s  ability  to  continue  as  a  going concern  is dependent  upon the Company’s ability to commence a commercially viable operation and  to achieve  a  level  of  profitability.   The  Company  intends  on  financing its  future  development activities and its working capital needs largely from the sale of public equity securities with some additional funding from other traditional financing sources, including term notes until such time that  funds provided by operations  are  sufficient  to fund  working capital  requirements.   The financial statements of the Company do not include any adjustments relating to the recoverability and classification of recorded assets, or the amounts and classifications of liabilities that might be necessary should the Company be unable to continue as a going concern.


Note 3 – Federal Income Taxes:


The Financial Accounting Standards Board (FASB) has issued Statement of Financial Accounting Standards Number 109 (“SFAS 109”), which requires a change from the deferred method to the asset and








liability method of accounting for income taxes.  Under the asset and liability method, deferred income taxes are recognized for the tax consequences of “temporary differences” by applying enacted statutory tax rates applicable to future years to differences between the financial statement carrying amounts and the tax basis of existing assets and liabilities.


Deferred  income  taxes  reflect  the  net  tax  effects  of  temporary differences  between the carrying amounts of assets and liabilities for financial  statement  purposes  and the  amounts  used for  income  tax purposes.   Significant   components of  the  Company's  deferred  tax liabilities and assets as of December 31, 2011 are as follows:

Note 4 – Related Party Transaction:


The majority shareholder has advanced money, as necessary, for the purposes of operating cash flows.  The advances have not been formalized by notes, but are considered payable on demand.  There are no repayment terms or interest rates.  Amounts due as of December 31, 2011 and 2010 are $950 and $1,550, respectively.


The officers and directors of the Company are involved in other business activities and may, in the future, become involved in other business opportunities that become available.  They may face a conflict in selecting between the Company and other business interests. The Company has not formulated a policy for the resolution of such conflicts.


The Company has little need for office space, therefore, does not own or lease property or lease office space.  The  office  space  used  by  the  Company  was  arranged  by  the  founder  of  the Company to use at no charge.  Management will assess the valuation of the utilized space at such time that the activities and utilization of the facilities become material.


The above terms and amounts are not necessarily indicative of the terms and amounts that would have been incurred had comparable transactions been entered into with independent parties.



Note 5 – Capital Stock Transactions:


Since inception the Company has issued a total of 500,000 shares of common stock for services and expenses for a value equivalent to $500.


In November 2011 the Company issued an additional 169,850 shares of common stock for a cash consideration of $16,985.


Note 6 – Financial Accounting Developments:









Recently Issued Accounting Pronouncements


In December 2010, the Financial Accounting Standards Board (“ FASB”) issued Accounting Standards Update (“ASU”) 2010-28, “Intangible – Goodwill and Other (Topic 350): When to perform Step 2 of the goodwill impairment test for reporting units with zero or negative carrying amounts.” This update requires an entity to perform all steps in the test for a reporting unit whose carrying value is zero or negative if it is more likely than not (more than 50%) that a goodwill impairment exists based on qualitative factors, resulting in the elimination of an entity’s ability to assert that such a reporting unit’s goodwill is not impaired and additional testing is not necessary despite the existence of qualitative factors that indicate otherwise. These changes became effective for the Company beginning January 1, 2011. The adoption of this ASU did not have a material impact on the Company’s financial statements.


In December 2010, the FASB issued ASU 2010-29, “Business Combinations (Topic 805): Disclosure of supplementary pro forma information for business combinations.” This update changes the disclosure of pro forma information for business combinations. These changes clarify that if a public entity presents comparative financial statements, the entity should disclose revenue and earnings of the combined entity as though the business combination that occurred during the current year had occurred as of the beginning of the comparable prior annual reporting period only. Also, the existing supplemental pro forma disclosure requirements were expanded to include a description of the nature and amount of material, nonrecurring pro forma adjustments directly attributable to the business combination included in the reported pro forma revenue and earnings. These changes which became effective for the Company beginning January 1, 2011 have not had an impact on the Company’s disclosures but may impact disclosures for future business combinations depending on acquisitions that are made in such periods.

In May 2011, the FASB issued ASU No. 2011-04, “Fair Value Measurements (Topic 820): Amendments to Achieve Common Fair Value Measurement and Disclosure Requirements in U.S. GAAP and IFRSs.” (“ASU 2011-04”). This guidance contains certain updates to the fair value measurement guidance as well as enhanced disclosure requirements. The most significant change in disclosures is an expansion of the information required for “Level 3” measurements, including enhanced disclosure for: (1) the valuation processes used by the reporting entity; and (2) the sensitivity of the fair value measurement to changes in unobservable inputs and the interrelationships between those unobservable inputs, if any. The provisions of this update are effective for interim and annual periods beginning on or after December 15, 2011, with early adoption prohibited. The Company’s adoption of this standard did not have a significant impact on the Company’s fair value measurements, financial condition, results of operations or cash flows.In June 2011, the FASB issued ASU 2011-05, “Presentation of Comprehensive Income.” This update requires that all non-owner changes in stockholders’ equity be presented either in a single continuous statement of comprehensive income or in two separate but consecutive statements. This update eliminates the option to present the components of other comprehensive income as part of the statement of changes in stockholders’ equity. These changes will be effective for the first quarter filing of 2012. The adoption of this update will change the manner in which the Company presents comprehensive income in the future.

In September 2011, the FASB issued ASU 2011-08, “Intangibles – Goodwill and Other (Topic 350), Testing Goodwill for Impairment.” This update provides companies with the option to perform a qualitative assessment to determine whether it is more likely than not (a likelihood of more than 50%) that the fair value of a reporting unit is less than its carrying amount. If, after assessing updated qualitative factors, a company determines it is not more likely than not that the fair value of a reporting unit is less than its carrying amount, it

Note 1 - Organization and Summary of Significant Accounting Policies:


Organization:


PLASTER CASTER INC. (the “Company”) was organized in the State of Michigan on April 19, 2007.


The Company’s fiscal year end is December 31.


Basis of Presentation – Development Stage Company:


The Company has not earned any revenues from limited principal operations. Accordingly, the Company’s activities have been accounted for as those of a “Development Stage Enterprise” as set forth in Financial Accounting Standards Board Statement Standards Codification (“ASC”) Topic 915. Among the disclosures required are that the Company’s financial statements be identified as those of a development stage company, and that the statements of operations, stockholders’ equity (deficit) and cash flows disclose activity since the date of the Company’s inception

  

Basis of Accounting:


The accompanying financial statements have been prepared on the accrual basis of accounting in accordance with accounting principles generally accepted in the United States. In the opinion of management these interim financial statements include all of the necessary adjustments to make them not misleading.


Cash and Cash Equivalents:


The Company considers all highly liquid debt instruments, purchased with an original maturity of three months or less, to be cash equivalents.


Use of Estimates:


These financial statements have been prepared in accordance with generally accepted accounting principles in the United States of America. Because a precise determination of assets and liabilities, and correspondingly revenues and expenses, depends on future events, the preparation of financial statements for any period necessarily involves the use of estimates and assumption an example being assumptions in valuation of stock options. Actual amounts may differ from these estimates. These financial statements have, in management's opinion, been properly prepared within reasonable limits of materiality and within the framework of the accounting policies summarized below.









Computer Equipment:


Computer equipment is recorded at cost. Depreciation is provided on a straight-line basis over the estimated useful life of the asset.


Net Loss Per Share:


Net loss per share is based on the weighted average number of common shares and common shares equivalents outstanding during the period.


Other Comprehensive Income:


The Company has no material components of other comprehensive income (loss), and accordingly, net income(loss) is equal to comprehensive loss in all periods.


Stock-Based Compensation

In December 2004, Financial Accounting Standards Board (FASB) issued Statement of Financial Accounting Standards No. 123 (Revised 2004), "Share-Based Payment" (SFAS 123 (R)). SFAS 123 (R) requires companies to recognize compensation cost for employee services received in exchange for an award of equity instruments based on the grant-date fair value of the award. The Company adopted the provisions of SFAS 123 (R) on January 1, 2005 using the "modified prospective" application method of adoption which requires the Company to record compensation cost related to unvested stock awards as of January 1, 2005 by recognizing the unamortized grant date fair value of these awards over the remaining service periods of those awards with no change in historical reported earnings. In May 2011, the FASB issued new authoritative guidance to provide a consistent definition of fair value and ensure that fair value measurements and disclosure requirements are similar between GAAP and International Financial Reporting Standards. This guidance changes certain fair value measurement principles and enhances the disclosure requirements for fair value measurements. This guidance is effective for interim and annual periods beginning after December 15, 2011 and is applied prospectively. The Company does not expect that the adoption of this guidance will have a material impact on its financial statements.


In June 2011, the FASB issued new guidance on the presentation of comprehensive income. The new guidance allows an entity to present components of net income and other comprehensive income in one continuous statement, referred to as the statement of comprehensive income, or in two separate, but consecutive statements. The new guidance eliminates the current option to report other comprehensive income and its components in the statement of changes in stockholders’ equity. While the new guidance changes the presentation of comprehensive income, there are no changes to the components that are recognized in net income or other comprehensive income from that of current accounting guidance. This new guidance is effective for fiscal years and interim periods beginning after December 15, 2011. Upon adoption, the Company will present its consolidated financial statements under this new guidance. The Company does not expect the adoption of this accounting guidance to have a material impact on its financial statements and related disclosures.


In September 2011, the FASB issued ASU 2011-08, “Intangibles – Goodwill and Other (Topic 350), Testing Goodwill for Impairment.” which gives entities testing goodwill for impairment the option of performing a qualitative assessment before calculating the fair value of a reporting unit for the goodwill impairment test. The amendment is effective for fiscal years, and interim periods within those years, beginning after December 15, 2011. The Company does not expect the adoption of this accounting guidance to have a material impact on its financial statements and related disclosures.

 

In December 2011, the Financial Accounting Standards Board ("FASB") issued authoritative guidance related to balance sheet offsetting. The new guidance requires disclosures about assets and liabilities that are offset or have the potential to be offset. These disclosures are intended to address differences in the asset and liability offsetting requirements under U.S. GAAP and International Financial Reporting Standards. This new guidance will be effective for us for interim and annual reporting periods beginning January 1, 2013, with retrospective application required. The adoption of this guidance is not expected to have a material impact on the Company’s results of operations or financial position.


Other accounting standards that have been issued or proposed by the FASB or other standards-setting bodies that do not require adoption until a future date are not expected to have a material impact on the Company’s financial statements upon adoption.
