Item 3.02 Unregistered Sales of Equity Securities.
On July 15, 2012, the Company completed a private placement of 7,874,241 of its common shares under a Regulation S exemption from registration for total cash proceeds of $ 2,362,271 pursuant to an offering memorandum dated November 1, 2011.
The equity securities sold in the this private placement are approximately 2.1% of the 366,246,522 shares of common stock outstanding as reported in the Company’s last periodic report, Form 10Q filed May 11, 2012.
