Item 8.01 Other Events.
On July 18, 2012, Pioneer Drilling Company (the “Company”) issued a press release announcing the completion of the offer to exchange up to $175 million of its 9.875% Senior Notes due 2018, which have not been registered under the Securities Act of 1933 for a like principal amount of its 9.875% Senior Notes due 2018, which have been registered under the Securities Act of 1933.
The foregoing description of the press release is qualified in its entirety by reference to Exhibit 99.1 to this Form 8-K, which is incorporated herein by reference.
