(b) Departure of Director
On July 12, 2012, Mr. Eric Hanson tendered his resignation from the Board of Directors, and the Compensation Committee and the Nominating Committee, of Tri-Tech Holding Inc. (the “Company”), effective July 25, 2012. Mr. Hanson’s resignation was not due to any disagreement with the Company on any matter related to the Company’s operations, policies or practices.
