Item 8.01. Other Events

On July 3, 2012, J. Alexander’s Corporation, a Tennessee corporation (the “Company”) issued a press release describing the Company’s process leading up to its entry into a definitive Agreement and Plan of Merger (the “Merger Agreement”) with Fidelity National Financial, Inc., a Delaware corporation (“Parent”) and certain affiliates of Parent, including American Blue Ribbon Holdings, Inc., a newly-formed Delaware corporation and an indirect, majority-owned subsidiary of Parent (“ABRH”), as well as the Company’s right to continue to seek alternative transactions during a 30 day go-shop period following the execution of the Merger Agreement.

A description of the Merger Agreement and the transactions contemplated thereby is included in Item 1.01 of the Company’s Current Report on Form 8-K filed with the Securities and Exchange Commission on June 28, 2012.
