Item 1.01 Entry into a Material Definitive Agreement.

Company and Comerica Bank Amend Credit Agreement to increase the Company’s borrowing capacity.

Manitex International, Inc. (the “Company”) currently has a U.S. credit facility with Comerica Bank (“Comerica”). On June 28, 2012, the Company and Manitex, Inc., a subsidiary of the Company, and Comerica executed Amendment No. 9 to the Second Amended and Restated Credit Agreement and Amendment to Revolving Credit Note (the “Amendment”). The principal purpose of the Amendment was to increase the amount of permitted loans or advances to foreign subsidiaries.

The Amendment permits advances to foreign subsidiaries up to $4,000,000 from June 28, 2012 through August 1, 2012 and $3,000,000 on and after August 2, 2012.
