Item 3.02 Unregistered Sales of Equity Securities

 

 

On June 29, 2012,  we issued  50,000   common shares of our company stock to a consultant for services rendered.Shares were valued at $31,150 based on the closing bid price of $0.623 on June 28, 2012. 

The shares were issued pursuant to the exemption from registration provided for under Rule 506 of Regulation D, promulgated under the United States Securities Act of 1933, as amended.
