Item 7.01 Regulation FD Disclosure.

 

 On June 28, 2012, Lightstone Value Plus Real Estate Investment Trust, Inc. (the “Company”) sent a notice to investors regarding an anticipated amendment and restatement of the Company’s Distribution Reinvestment Program (“DRIP”). A copy of the notice is attached hereto as Exhibit 99.1 and incorporated herein by reference.

 

In accordance with General Instruction B.2 of Form 8-K, the information incorporated by reference in this Item 7.01 shall not be deemed “filed” for purposes of Section 18 of the Securities and Exchange Act of 1934, as amended (the “Exchange Act”) or otherwise subject to the liabilities under that Section and shall not be deemed to be incorporated by reference into any filing of the Company under the Securities Act of 1933, as amended, or the Exchange Act.
