ITEM 7.01             Regulation FD Disclosure.

 

On June 27, 2012, Tyco International Ltd. (“Tyco”) issued a press release announcing that Tyco and its subsidiary Tyco International Finance S.A. (“TIFSA”) have commenced tender offers to purchase for cash on the terms set forth in an offer to purchase and related letter of transmittal, dated June 27, 2012, any and all outstanding 6.000% Notes due 2013 co-issued by TIFSA and Tyco,  4.125% Notes due 2014 issued by TIFSA, 7.000% Notes due 2019 co-issued by TIFSA and Tyco and 8.500% Notes due 2019 issued by TIFSA and up to the Maximum Tender Amount (as defined in the offer to purchase) of the 6.875% Notes due 2021 co-issued by TIFSA and Tyco, 3.750% Notes due 2018 issued by TIFSA, 4.625% Notes due 2023 issued by TIFSA and 3.375% Notes due 2015 issued by TIFSA.

 

Tyco refers investors participating in the tender offers to the tender offer documents for the complete terms of the tender offers.

 

A copy of the press release is furnished as Exhibit 99.1 to this current report and incorporated herein by reference.
