Item 8.01  Other Events.

 

On June 25, 2012, TCF Financial Corporation (the “Company”) issued a press release announcing that it will redeem all of the issued and outstanding trust preferred securities of TCF Capital I, a Delaware statutory trust. Under applicable bank regulatory capital guidelines, upon notice of redemption the trust preferred securities will no longer qualify as Tier 1 capital for the Company. The redemptions will be funded with a portion of the net proceeds from the Company’s public offering of depositary shares, each representing 1/1,000th interest in a share of the Company’s Series A Non-Cumulative Perpetual Preferred Stock, which closed on June 25, 2012. A copy of the Company’s press release containing such announcement is attached as Exhibit 99.1 to this Current Report on Form 8-K.
