ITEM 8.01 OTHER EVENTS

On June 25, 2012, GeoResources, Inc. (the “Registrant”) sent correspondence and notice of anticipated corporate event (the “Notice”) to holders of warrants to purchase common stock of the Registrant. The Notice relates to the Agreement and Plan of Merger, dated April 24, 2012 (the “Merger Agreement”), among Halcón Resources Corporation (“Halcón”), Leopard Sub I, Inc., Leopard Sub II, LLC and the Registrant. A copy of the Notice is filed with this Current Report on Form 8-K as Exhibit 99.1, and is incorporated herein by reference.
