Item 8.01. Other Events.
Energy Transfer Partners, L.P. ("ETP") filed a Current Report on Form 8-K on April 30, 2012 to announce that ETP and Sunoco, Inc. ("Sunoco") have entered into a definitive merger agreement pursuant to which ETP will acquire Sunoco. ETP also filed a Current Report on Form 8-K on June 18, 2012 to announce that Energy Transfer Equity, L.P. ("ETE") plans to drop down its interest in Southern Union Company ("Southern Union") into an ETP-controlled entity, which will also include assets to be acquired in the recently announced merger between Sunoco and ETP.
Exhibit 99.1 to this Current Report on Form 8-K presents the following unaudited pro forma condensed consolidated financial information, which has been prepared in accordance with Article 11 of Regulation S-X:
• | Unaudited pro forma condensed consolidated balance sheet as of March 31, 2012; |
• | Unaudited pro forma condensed consolidated statement of operations for the three months ended March 31, 2012; |
