Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

Effective as of June 18, 2012, Mr. Derek Cooper resigned as President, Chief Executive Officer, Chief Financial Officer, Secretary and a director of the Company. Mr. Cooper’s resignation was not due to any disagreement between him and the Company.

 

Effective as of June 19, 2012, the Company’s Board of Directors appointed Mr. Joseph Sierchio to serve as the Company’s Acting Interim President and Chief Executive Officer.
