Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On June 13, 2012, John R. Beall, resigned as Chief Financial Officer of ENGlobal Corporation (the “Company”), effective immediately. The Company’s Corporate Controller, Mark A. Hess, CPA, age 53, will assume Mr. Beall’s role on an interim basis while a search is conducted for a replacement.
Mr. Hess has served as the Company’s Corporate Controller since July 2011. Prior to joining ENGlobal, Mr. Hess served as Vice President and Chief Accounting Officer of Geokinetics, Inc., a seismic data service company, from April 2008 to April 2010. From November 2004 to April 2008, he served as Director of Finance for CGGVeritas, a seismic data service company. Mr. Hess is a CPA, holds a Bachelor of Business Administration (BBA) in Accounting from the University of Houston and is an active member of Financial Executives International (FEI).
Item 7.01 Regulation FD Disclosure
On June 13, 2012, the Company issued a press release announcing the resignation of Mr. Beall. The press release is filed as Exhibit 99.1 to this Form 8-K, and is incorporated herein by reference.
