(b) On June 5, 2012, Gottfred Langseth, a member of the Board of Directors of Geokinetics Inc. (the “Company”), notified the Company that he will not stand for re-election as a director of the Company at the 2012 Annual Meeting of Stockholders due to the time demands of his other professional commitments.  Mr. Langseth’s decision not to stand for re-election as a director is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
